Terms of Use

By using Poker Chips Royale (pokerchipsroyale.com, the browser companion at pokerchipsroyale.com/join, and the iOS and, when available, Android apps, together "the Service") you accept these terms in full.

1. About the Service

Poker Chips Royale is a digital chip tracker for live home poker games. It replaces the physical chips at the table: it tracks stacks, blinds, bets, pots and side pots while you play with a real deck of cards.

The Service is provided by Nodux Media AB, Swedish company registration number 559575-8052, with its registered seat in Nyköping municipality, Sweden. References to "we", "us" and "Poker Chips Royale" mean Nodux Media AB.

2. Acceptance

By downloading the app, joining a table from the browser or using the Service in any other way, you accept these terms and our privacy policy. If you do not accept the terms, you may not use the Service. No account or registration is required to use the Service.

3. Not a gambling product

The Service offers no wagering, no deposits, no payouts and no way to move money between players. Chips in the app are score markers with no monetary value; they cannot be bought, sold or exchanged. Whatever arrangements the people at your table make among themselves happen entirely outside the Service, and you are responsible for making sure your game complies with the laws that apply where you play. The Service may not be used to operate or facilitate commercial gambling.

Poker Chips Royale is a scorekeeping tool only. If the people at your table choose to play for real money, that betting, and any money that changes hands, takes place entirely between those people and entirely outside the Service. We are not a party to it, we take no part in it, and we disclaim all responsibility and liability, to the fullest extent permitted by law, for anything that happens outside the app. This includes any stakes, buy-ins, debts, winnings, losses, taxes or disputes among the players, and whether your game is lawful where you play. Deciding whether and how to play for money, and bearing every consequence of that decision, is entirely your own responsibility.

4. Copyright and intellectual property

All content and software in the Service, including but not limited to source code, design, interfaces, layout, icons, illustrations, sounds, animations, texts, the "Poker Chips Royale" name and logo, data model and documentation, is owned by Nodux Media AB or our licensors and is protected by Swedish and international copyright, trademark and other intellectual property law.

Nothing in these terms transfers any ownership or intellectual property rights to you. All rights not expressly granted to you are reserved by Nodux Media AB.

5. Your license to use the Service

We grant you a personal, non-exclusive, non-transferable and revocable license to install and use the Service on devices you own or control, solely for your own private, non-commercial home games. The license applies for as long as you follow these terms and ends automatically if you break them.

6. Prohibited use

You may not, in whole or in part, yourself or through a third party:

  • Copy, reproduce, distribute, sell, rent out or publish the Service or its content
  • Decompile, disassemble, reverse engineer or otherwise attempt to recreate the source code
  • Create derivative works or competing products based on the Service or its data model, design, copy or flows
  • Use automated tools (bots, crawlers, scrapers) to collect data from the Service
  • Use the Service's content, interface or output to train machine-learning or AI models
  • Remove, hide or alter trademarks, logos, copyright notices or other ownership markings
  • Circumvent technical protections, the Pro unlock, payment flows or access controls
  • Disrupt other people's tables, probe, overload or attempt unauthorized access to the Service, its online relay or its infrastructure
  • Use the Service for unlawful purposes or in ways that violate Apple App Store or Google Play policy

Violations of this section can lead to immediate suspension from the online relay, civil claims for damages and a police report.

7. Free tier and the Pro upgrade

Poker Chips Royale is offered in a free tier with core functionality and an optional paid Pro upgrade that unlocks additional features. Which features belong to which tier is shown in the app and may change over time. We reserve the right to add, change or remove features in both tiers without prior notice.

8. Payment

The Pro upgrade is a one-time purchase, not a subscription. There is no automatic renewal and no recurring charge. The purchase is made in the app and handled entirely by Apple's App Store (and by Google Play once the Android version is available). The current price is shown in the store before you confirm the purchase. Billing and receipts are managed by Apple or Google under their terms.

9. Right of withdrawal

As a consumer in the EU you normally have a 14-day right of withdrawal for distance purchases. For digital content such as the Pro upgrade, the right of withdrawal lapses once delivery has begun with your consent and your acknowledgement that the right is thereby lost, which happens when you complete the purchase and the Pro features are unlocked. Purchases made through the App Store or Google Play are handled under the refund rules of the respective platform; refund requests go through Apple's Report a Problem page or Google Play's refund process.

10. Your data and backups

Your games, statistics and settings are stored locally on your own devices, as described in the privacy policy. We have no copy of them. You are responsible for your own device backups (for example iCloud backup); if you delete the app or lose the device, we cannot restore your game history. Data relayed through the online table service is transient and is not retained by us after the session.

11. Your responsibility

You are responsible for how the Service is used at your table: for keeping your game lawful where you play, for the accuracy of what you enter, and for making sure the people in your game are comfortable with how you run it. The Service records what the host and players enter; it does not arbitrate disputes.

12. Limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service is error-free, uninterrupted or secure, or that it meets specific needs.

To the extent permitted by law, Nodux Media AB, its owners, employees, partners and subcontractors are not liable for:

  • Loss of data, regardless of cause
  • Decisions made or disputes arising at your table based on information in the app
  • Downtime, technical faults or unavailability, including of the online relay
  • Direct, indirect, incidental or consequential damages, including lost profit

Our total liability towards you under these terms is, regardless of basis, limited to the amount you have paid us for the Service during the last twelve (12) months. For consumers, this section does not limit rights that follow from mandatory law.

13. Suspension

We may immediately suspend your access to the online relay if you break these terms, if we suspect fraud or abuse, or if we are required to do so by law. Serious violations of section 6 (prohibited use) may also lead to claims for damages and a police report.

14. Force majeure

We are not responsible for delays or failure to perform caused by circumstances beyond our reasonable control, such as power outages, internet disruptions, attacks on infrastructure, war, natural disaster, pandemic or failures at a subcontractor.

15. Third parties and the app stores

If you downloaded the app from Apple's App Store, Apple's Licensed Application End User License Agreement also applies alongside these terms. In case of conflict, these terms take precedence to the extent the law allows, except as regards Apple's rights as a third-party beneficiary below.

Apple Inc. and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you as an end user. Apple is not responsible for the app, its content, support, warranties or third-party claims; that responsibility lies with Nodux Media AB.

For downloads and purchases via Google Play, Google Play's terms of service apply in parallel with these terms.

16. Changes to these terms

We may update these terms. Material changes will be announced on this page and in the app's release notes at least 30 days before they take effect. Continued use after an announced change means you accept the new terms; if you do not accept them, stop using the Service before they take effect.

17. Governing law and disputes

Swedish law governs these terms and your use of the Service, without regard to conflict-of-law rules.

Disputes with consumers are heard in the first instance by the Swedish National Board for Consumer Disputes (ARN, arn.se) where the matter falls within ARN's competence, or by a general court with Stockholm District Court as the first instance. As an EU consumer you can also use the European Commission's online dispute resolution platform. Disputes with businesses are settled by Stockholm District Court as the first instance.

18. Miscellaneous

If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce a right in an individual case does not mean we waive the right to enforce it later.
